Partner Bud Bilewich Closes $57 Million Merger

Corporate department partner Igor (Bud) Bilewich represented J.N. Macri Technologies LLC (“Technologies”) and NTD Laboratories, Inc.(“NTD”) in the sale of patents owned by Technologies, LLC. and all of the issued and outstanding stock in NTD to affiliates of PerkinElmer, Inc., a global technology leader in the field of health sciences. The purchase price for both transactions was approximately $56.65 million.  Both companies specialize in pre-natal risk assessment technology.

NTD Laboratories was formed in 1983 by James N. Macri Ph.D. and is the premier provider of prenatal screening for Down Syndrome, Trisomy 18 and open neural tube defects.  Using a process patented by Dr. Macri, NTD performs prenatal risk assessment in the first trimester of pregnancy with an accuracy unmatched by any other product or process.  This patented screening process is used throughout the world.  The acquisition of NTD and the patents held by Technologies by a recognized world leader  in the field of health services means that this cutting-edge technology should soon be available in the United States.

The Firm represented both of these entities in numerous collaboration arrangements, licensing agreements and other transactions worldwide before representing them in the transactions culminating in the sale.
